1. Role Purpose
The Chief Executive Officer (CEO) & Head of Arranging is responsible for the overall leadership, strategic direction, and day-to-day management of the Capital Market Institution, while also leading the firmβs Arranging activities. The role combines executive management with front-office responsibility for arranging the distribution of foreign funds and private equity opportunities in the Saudi market, as well as providing corporate finance and structuring advisory services, all in full compliance with the Capital Market Authority (CMA) regulations.
2. Key Responsibilities
2.1 Strategic Leadership & Overall Management (CEO)
- Provide overall leadership and strategic direction for the firm in line with the Board-approved business plan and risk appetite.
- Ensure the firm operates in full compliance with the Capital Market Law, CMA Implementing Regulations, and all applicable rules (including Capital Market Institutions Regulations, Securities Business Regulations, and Prudential Rules).
- Act as the primary point of contact with the Capital Market Authority (CMA) and other regulatory bodies.
- Lead the senior management team and ensure effective governance, internal controls, and risk management frameworks are in place.
- Oversee financial performance, capital adequacy, budgeting, and resource allocation.
- Represent the firm with clients, counterparties, regulators, and other key stakeholders.
2.2 Arranging Activities (Head of Arranging)
- Lead the firmβs Arranging activities, including the introduction of parties in relation to the offering and distribution of foreign funds and private equity opportunities in the Kingdom of Saudi Arabia.
- Manage the process of registering and facilitating the distribution of foreign investment funds and private equity opportunities to eligible Saudi investors in accordance with CMA requirements.
- Originate, structure, and execute private placement and fundraising transactions.
- Provide corporate finance and corporate structuring advisory services to clients.
- Build and maintain strong relationships with international fund managers, private equity sponsors, institutional investors, family offices, and other market participants.
- Ensure all arranging activities are conducted in accordance with CMA rules on conduct of business, conflicts of interest, and client classification.
2.3 Business Development & Client Management
- Drive business development and revenue generation for the firmβs arranging and advisory services.
- Identify and pursue new opportunities in foreign fund distribution, private equity placement, and corporate structuring mandates.
- Manage key client relationships and ensure high-quality service delivery.
2.4 Governance, Risk & Compliance Oversight
- Ensure the firm maintains robust systems and controls appropriate to its size and complexity.
- Oversee the effectiveness of the Compliance, AML/CFT, and risk management functions.
- Promote a strong culture of compliance, integrity, and ethical conduct across the organisation.
- Ensure timely and accurate regulatory reporting and notifications to the CMA.
